A polished template can still allocate most of the risk to the customer. Before signing, compare the sales promises with the written obligations and remedies.

1. Scope and Service Levels

Describe the product or service, implementation duties, deadlines, support and measurable performance. If a feature or result drove the purchase, include it in the agreement or a referenced statement of work.

2. Price, Increases and Additional Fees

Review setup charges, minimum purchases, pass-through expenses, late fees and price-adjustment rights. Confirm whether the quoted price covers the entire term.

3. Term, Renewal and Exit

Identify the initial term, renewal mechanism, notice window and early-termination consequences. Consider what happens to prepaid amounts, equipment, records and access after termination.

4. Data, Confidentiality and Work Product

Determine who owns customer data, reports, designs, photographs, software configurations and other work product. Address return, deletion and continued use of information after the relationship ends.

5. Liability, Indemnity and Disputes

Review warranty disclaimers, damage limitations, indemnity obligations, insurance, attorney fees, arbitration, governing law and venue. A low-cost agreement can become expensive if the business accepts broad third-party liability.

Keep signed contracts in one location, calendar renewal deadlines and designate who may approve changes. Standard intake and review procedures reduce inconsistent commitments across the business.
